Terms of Service

1. Purpose

These Terms of Service ("Terms") govern your access to and use of ZeroCart AI LLC ("ZeroCart", "Service"), a Software-as-a-Service (SaaS) platform for AI-powered e-commerce cart recovery. By creating an account or using the Service, you agree to be bound by these Terms.

2. Registration & Account

You must provide accurate, complete, and up-to-date information when creating your account.
You are responsible for maintaining the confidentiality of your credentials and all activity under your account.
You must be at least 18 years old and have the legal capacity to enter into contracts.
ZeroCart reserves the right to suspend or terminate accounts that violate these Terms.

3. Subscription & Payment

Billing: Subscriptions are billed monthly or annually depending on your chosen plan. Annual plans are paid upfront as a one-time payment equivalent to 8 months of service (33% saving).

Price lock: The price you pay at sign-up is locked for the lifetime of your subscription. We will never raise prices on existing subscribers.

Payment processing: Payments are processed securely by Stripe. ZeroCart does not store your card details.

Refunds: Monthly plans: no refunds for the current billing period. Annual plans: pro-rata refund available within 14 days of purchase.

Late payment: Access may be suspended after 7 days of failed payment. Accounts are terminated after 30 days of non-payment.

4. Use of the Service

You agree not to:

Use the Service for any illegal purpose or in violation of applicable laws.
Attempt to reverse-engineer, decompile, or disassemble the Service.
Resell, sublicense, or transfer your account to a third party without our written consent.
Transmit spam, malware, or other harmful content through the Service.
Interfere with or disrupt the integrity or performance of the Service.
Circumvent any rate limits, access controls, or security measures.

5. Intellectual Property

The Service, including all software, algorithms, designs, trademarks, and documentation, is the exclusive property of ZeroCart AI. Nothing in these Terms grants you any ownership rights over the Service.

You retain full ownership of your data. By using the Service, you grant ZeroCart a limited, non-exclusive licence to process your data solely to provide and improve the Service.

6. Uptime & Support

ZeroCart targets 99.5% monthly uptime. Planned maintenance is announced at least 24 hours in advance. Support is provided via email for all plans; dedicated success teams are available on Sovereign and Emperor plans.

7. Limitation of Liability

To the maximum extent permitted by law, ZeroCart's total liability to you for any claim arising from these Terms or the Service shall not exceed the total fees paid by you in the 3 months preceding the claim.

ZeroCart is not liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of revenue, data, or business opportunities, even if advised of the possibility of such damages.

8. Termination

You may cancel your subscription at any time from your account dashboard. Access continues until the end of the paid period.
ZeroCart may suspend or terminate your account immediately for material breach of these Terms.
Upon termination, your data is retained for 30 days and then permanently deleted, except where retention is required by law.

9. Modifications

ZeroCart reserves the right to update these Terms. We will notify you by email at least 30 days before any material changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.

10. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Wyoming, unless mandatory consumer-protection law in your country of residence requires otherwise.
